Creating Closed Caption for Movie?

Can anyone lead me to the details of what a distributor is typically looking for when he asks for closed caption in your movie?

Closed Captioning is simply the dialogue in text - like sub-titles
for foreign language films - that can be turned on and off. Rather
than, say, French sub-titles for an English language film, Closed
Captioning is text in the films original language for the hearing
impaired. The distributor is typically looking for you to put every
line of dialogue, in sync with the picture, on a CC track.
